Terms of service.

1. §01

   Acceptance.

   By engaging SingleBit for any project, signing a scope of work, or using singlebit.xyz, you agree to these Terms. If you are accepting on behalf of a company, you confirm you have authority to bind that company to them.

2. §02

   Services we provide.

   SingleBit is a product studio based in India. We deliver engagements across six disciplines: concept and design, MVP / web / app development, AI and agentic work, workflow automation, custom solutions, and brand and marketing.

   Specific scope, deliverables, timeline, and fees for each engagement are captured in a written proposal or statement of work (SOW) that sits alongside these Terms. If the SOW and these Terms conflict, the SOW governs for that engagement.

3. §03

   How an engagement starts.

   We start every engagement with a conversation, usually 30 to 45 minutes, followed by a one-page proposal within three to five working days. Work begins after both parties sign the SOW and the first milestone is settled as agreed.

4. §04

   Fees, billing, and refunds.

   Fees are fixed per engagement and set in the SOW. MVP builds bill on milestones. Retainers bill monthly in advance. Growth engines and operated systems bill on a flat monthly fee. Invoices are due within 14 days unless otherwise stated.

   Work-in-progress is non-refundable. Where a milestone is not yet delivered, pro-rata refunds are available on written request. Cross-border payments are settled in USD, EUR, or INR as agreed.

5. §05

   Client responsibilities.

   Clients provide timely feedback, accurate brand and product inputs, domain access, and access to any systems required to ship the work. Delays attributable to missing inputs may shift delivery windows.

6. §06

   Intellectual property.

   Final deliverables produced under an SOW transfer to the client on full payment of all outstanding invoices. Until then, all deliverables remain the property of SingleBit.

   SingleBit retains rights to pre-existing frameworks, libraries, tooling, and know-how used to deliver the work, and to feature the engagement in our portfolio, case studies, and marketing materials unless the SOW states otherwise.

7. §07

   Confidentiality.

   Both parties keep confidential information private, use it only for the engagement, and protect it with reasonable care. NDAs are available on request and are signed before sensitive details are shared. This obligation survives termination.

8. §08

   Warranties and disclaimers.

   We perform services with professional care and skill. Except as stated in the SOW, services are provided on an "as is" basis without any other warranty, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.

9. §09

   Limitation of liability.

   To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profit, revenue, or data. Our total aggregate liability for any engagement is limited to the fees actually paid under the SOW in the twelve months preceding the claim.

10. §10

    Termination.

    Either party may terminate an engagement with written notice as specified in the SOW. Fees for work completed up to the termination date remain payable. On termination we hand over work-in-progress, source files, and access tied to the engagement, subject to payment in full.

11. §11

    Governing law.

    These Terms and each SOW are governed by the laws of India. Any dispute is subject to the exclusive jurisdiction of the courts at Indore, Madhya Pradesh, India, unless the SOW specifies a different venue.

12. §12

    Changes to these Terms.

    We may update these Terms from time to time. Material changes will be published on this page with a new effective date. Engagements already underway continue on the Terms that were in effect when their SOW was signed.
